OBJECTIVES:

The overall objective of this assignment is that Save the Children requires a qualified consultant to Conduct Legal Due Diligence assessment for Save the Children Green Climate Fund Proposal Development in Somalia.

Specific Objectives:

  •          To conduct a comprehensive evaluation of applicable laws, regulations, and international treaties affecting the project. 
  •          To assess the compliance with regulatory approvals, tax obligations, foreign exchange regulations, and insurance requirements to meet legal standards.
  •          To assess potential legal challenges, verify the validity of required approvals and permits, and develop strategic mitigation plans. 

SCOPE OF WORK:

This exercise aims to conduct Legal Due Diligence assessment for Save the Children Green Climate Fund Proposal Development in Somaliathrough the following activities.

·    Project Inception-Conduct a kick-off meeting with key stakeholders to clarify project objectives, expectations, and timelines and review relevant documentation related to due diligence.

·    Meet with key design team members (Team Leader and Save the Children staff in Somalia, UK and Australia) to provide an overview of the assessment criteria and data requirements and agree on support needs and responsibilities. 

·  Undertake the due diligence Assessment of the Proposed Executing Entity. This will include reviewing the Legal framework, the Organization Structure and culture.

·    Prepare a report with findings and recommendations on due diligence. 

·    Prepare any required supporting documentation to the legal due diligence Annex in the proposal.

 

METHODOLOGY:

The overall exercise will primarily be a desk study but will contain set of qualitative data collection stages to develop a substantive, user-centered capacity assessment for Legal Due Diligence assessment GCF executing entities. The steps mentioned below will be an integral part in the process.

·         Desk Review: Conduct a thorough review of existing documentation related to the legal due diligence.

·         Capacity Assessment Framework: Develop a framework that focuses on due diligence.

·         Interviews and Focus Groups: Conduct key informant interviews (KII) and focus group discussions with stakeholders to collect in-depth information.

·         Data Analysis: Analyse data to identify trends, patterns, and areas for improvement.

·         Validation Meeting: Organize a meeting to validate findings and refine recommendations with stakeholders' input.

The following are minimum requirements for the Consultant Firm to be considered for carrying out the assignment.

  •          A minimum of 10 years of experience in conducting Legal Due Diligence Assessments and legal practice experience.
  •          A master’s degree in law.
  •          Proven experience in conducting due diligence analyses for GCF proposals.
  •          Knowledge of Somali government systems and district council structures (preferred).
  •          A comprehensive understanding of GCF processes, policies, and requirements, with a particular focus on due diligence.
  •          Excellent written and verbal communication skills in English.

·         Proven experience designing, implementing, and evaluating capacity-building programs tailored to local partners or communities.

·         Experience in developing training materials and curricula that address the specific needs of diverse audiences, including local staff, government officials, and community members.

·         Experience collaborating with a wide range of stakeholders, including local governments, NGOs, and community organizations, to foster partnerships and enhance capacity-building efforts.

·         Experience managing capacity-building projects, including budgeting, planning, and reporting.
